1. Acceptance of Terms

By accessing or using www.bluequbitconsulting.com or any Blue Qubit Consulting (“Blue Qubit Consulting”, “we”, “our”, or “us”) products and services, you agree to these Terms and Conditions. If you do not agree, please discontinue use of the website and Services.

2. Services

BQC provides consulting, cybersecurity, AI, cloud, software development, CRM, managed services, staff augmentation, and training services. The specific scope, deliverables, fees, timelines, and requirements for a particular engagement may be defined in a separate proposal, statement of work, or service agreement.

3. Client Responsibilities

Clients and users agree to provide accurate information, cooperate with BQC as reasonably required, provide necessary access and approvals, maintain the security of their accounts and credentials, and use the Services lawfully and responsibly. Clients are responsible for ensuring they have the necessary rights and permissions for information, data, software, or other materials provided to BQC.

4. Intellectual Property

BQC retains ownership of its pre-existing software, technology, methodologies, tools, processes, documentation, trademarks, and other proprietary materials. Unless otherwise agreed in writing, these Terms do not transfer ownership of BQC intellectual property to a client. Rights to specific deliverables will be governed by the applicable written agreement.

5. Confidentiality

BQC and its clients may receive confidential business, technical, or other proprietary information from one another. Each party agrees to use reasonable measures to protect confidential information and to use it only for purposes related to the business relationship, subject to applicable legal requirements.

6. AI and Technology Services

Certain BQC Services may use artificial intelligence or other automated technologies to analyze information, automate workflows, generate recommendations, or support business processes. AI-generated results may contain errors or limitations and should be reviewed before being used for important business, legal, financial, security, or operational decisions.

7. Third-Party Services

BQC may use third-party platforms and providers, including cloud, software, analytics, CRM, cybersecurity, and other technology providers. Third-party services are subject to their own terms, policies, availability, and security practices. BQC’s Privacy Policy describes categories of third-party providers that may be used in connection with its Services.

8. Fees and Payment

Fees and payment terms will be stated in the applicable proposal, statement of work, invoice, or service agreement. Clients are responsible for paying agreed fees and approved expenses when due. BQC may suspend Services for overdue payments where permitted by the applicable agreement.

9. Disclaimer and Limitation of Liability

BQC will use reasonable care and skill in providing its Services. However, BQC does not guarantee uninterrupted or error-free Services, specific business results, or complete protection from cybersecurity threats. To the fullest extent permitted by law, BQC will not be liable for indirect, incidental, consequential, or special damages arising from use of the Services, except where liability cannot be limited by law.

10. Termination

BQC may suspend or terminate access to its Services where reasonably necessary due to a material violation of these Terms, security risks, unauthorized access, fraud, non-payment, or other circumstances permitted by law or applicable agreement. Specific engagement termination terms may be set out in a separate written agreement.

11. Privacy

Use of BQC Services is also governed by the Blue Qubit Consulting Privacy Policy. The Privacy Policy explains how BQC collects, uses, protects, retains, and processes personal information and describes applicable privacy rights and practices.

12. Changes to These Terms

BQC may update these Terms from time to time to reflect changes to its Services, business practices, technology, or legal requirements. The latest version will be published on the BQC website. Continued use of the Services after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by law.

13. Governing Law

These Terms will be governed by the laws applicable to the relevant BQC engagement and jurisdiction, unless a separate written agreement specifies otherwise. Any dispute-resolution requirements may also be defined in the applicable written agreement.
